Default Representation Terms
The default contract governing representation without a commission between an Agency and its clients on Bridge
These Default Representation Terms apply to every representation contract proposed and accepted through the Bridge Services between the Agency that proposes it (the "Agency") and the person whose profiles are in its scope (the "Target"), unless the Agency and Target have agreed in writing to different terms for that contract. The details shown before acceptance — the profiles or Venues in scope and the effective and expiration settings — are part of these terms. The Target represents that it owns or controls each profile or Venue in the contract's scope and is authorized to commit it.
1. The Contract Is Between You
When a representation contract is accepted through the Bridge Services, a direct contract forms between the Agency and the Target on these terms. Bridge Booking LLC ("Bridge") is not a party to that contract. A representation contract sets no commission, fee, or other charge, and no payment is made, deducted, or added under it; it requires no authorization under the Bridge Live Payment Terms from anyone other than the Target.
2. Client Status
While the contract is in force, the Bridge Services designate the profiles in its scope as clients of the Agency. The designation reflects the contract and ends with it. It does not by itself grant the Agency any permission to act for those profiles (permissions are granted separately, as described in the Terms of Service), and it creates no employment, representation, or other arrangement outside the Bridge Services.
3. Exclusivity
A representation contract is exclusive. While the contract is active, the profiles in scope are not to receive or accept contracts from other Agencies through the Bridge Services, and the Bridge Services decline conflicting proposals and acceptances. Exclusivity does not end contracts already in force when it takes effect, and it operates on the Bridge Services only. The exclusivity commitment is between the Agency and the Target; Bridge's enforcement of it is an operational feature of the Bridge Services, not a guarantee, and any exclusivity or representation arrangement beyond the Bridge Services is between the Agency and the Target and is not created or enforced by these terms.
4. Term and Termination
The contract takes effect on acceptance (or on its stated effective date, if later) and continues until its expiration date, if any. Either party may terminate the contract through the Bridge Services at any time. Termination ends the client designation and the exclusivity prospectively and does not affect any other contract in force.
5. Independent Parties; Professional Responsibility
The Agency and Target are independent contracting parties. Nothing in these terms or in the use of the Bridge Services creates an employment, joint-venture, or partnership relationship between them, or between either of them and Bridge, and nothing appoints Bridge as anyone's talent agency, booking agency, or manager. The Agency is solely responsible for the conduct of its business, including obtaining and maintaining any license, registration, or approval required for the services it provides (such as talent- or employment-agency licensing where applicable) and complying with the laws that govern its client relationships and fees.
6. Acting for a Client
Where the Target has granted the Agency permissions through the Bridge Services, the Agency may act for the Target within those permissions, as described in the Terms of Service. The Agency is responsible for acting within its authority, and bookings arranged for a client remain contracts between the Venue and the Talent under the Bridge Live Default Booking Terms.
7. Disputes
Disputes about a representation contract are between the Agency and the Target, and they will attempt to resolve them directly. Bridge has no obligation to resolve them.
