Default Commission Terms

These Default Commission Terms apply to every commission contract proposed and accepted through the Bridge Services between the party that earns the commission (the "Beneficiary" — for example, an Agency) and the party that bears it (the "Target"), unless the Beneficiary and Target have agreed in writing to different terms for that contract. The commission details shown before acceptance — the amount or percentage and what it applies to, the payments covered, the profiles or Venues in scope, any exclusivity, whether the commission is required or optional for each payment, and the effective and expiration settings — are part of these terms. The Target represents that it owns or controls each profile or Venue in the contract's scope and is authorized to commit it.

1. The Contract Is Between You

When a commission contract is accepted through the Bridge Services, a direct contract forms between the Beneficiary and the Target on these terms. Bridge Booking LLC ("Bridge") is not a party to that contract. Bridge provides the platform, applies accepted commission contracts when it executes covered payments, and pays commissions out, as described in the Bridge Live Payment Terms.

2. Commission

The commission applies to payments processed through the Bridge Services that are within the contract's scope while the contract is active, and to no others. Amounts otherwise payable to or by the Target for a covered payment are calculated and disbursed net of, or together with, the applicable commission as displayed, and commission amounts applied to a payment are itemized in the payment records available to each affected party. Where a profile in scope directs payments to a Payment Account held by someone other than the Target, the commission applies to payments disbursed to that account only while the authorization of that account's holder (its "Account Holder") under the Bridge Live Payment Terms is in force. Where more than one commission applies to the same payment, the Bridge Services may proportionally reduce the commissions deducted from it so that the recipient retains a minimum share of that payment; the itemized payment records state the amounts actually applied, and those records control. These terms create no obligation with respect to engagements, payments, or arrangements made outside the Bridge Services. Bridge applies a commission contract as accepted through the Bridge Services regardless of any separate agreement between the Beneficiary and the Target; parties who agree to different terms between themselves are responsible for updating the contract through the Bridge Services or for settling the difference directly. If a covered payment is later refunded, reversed, or charged back, Bridge may reverse or adjust the corresponding commission as described in the Bridge Live Payment Terms.

3. Optional Commissions

Where a commission is marked optional, it may be applied or declined for each covered payment through the Bridge Services by the party arranging that payment — for a booking payment, the Venue paying it; for a ticket payout, the event's administrators — which may not be the party that bears the commission. The default shown at acceptance controls when no choice is made. Where a commission is marked required, it applies to every covered payment.

4. Client Status

While a commission contract between the Beneficiary and the Target is in force, the Bridge Services designate the profiles in its scope as clients of the Beneficiary. The designation reflects the contract and ends with it. It does not by itself grant the Beneficiary any permission to act for those profiles (permissions are granted separately, as described in the Terms of Service), and it creates no employment, representation, or other arrangement outside the Bridge Services.

5. Exclusivity

A commission contract is either non-exclusive or exclusive; exclusivity is a term of the contract. "Exclusive" means that, while the contract is active, the profiles in scope are not to receive or accept contracts from other Agencies through the Bridge Services, and the Bridge Services decline conflicting proposals and acceptances. Exclusivity does not end contracts already in force when it takes effect, and it operates on the Bridge Services only. The exclusivity commitment is between the Beneficiary and the Target; Bridge's enforcement of it is an operational feature of the Bridge Services, not a guarantee, and any exclusivity or representation arrangement beyond the Bridge Services is between the Beneficiary and the Target and is not created or enforced by these terms.

6. Term and Termination

The contract takes effect on acceptance (or on its stated effective date, if later) and continues until its expiration date, if any. Either party may terminate the contract through the Bridge Services at any time. Termination stops the commission from applying to future payments; commissions already applied to executed payments are unaffected, except as described in Section 2. An Account Holder's authorization is not part of this contract; it is given, and may be revoked, as described in the Bridge Live Payment Terms, and revocation stops the commission from applying to future payments to that Payment Account without otherwise affecting the contract. While the contract is pending or active, a Payment Account may not be unlinked from, or replaced for, either party, or for a profile in the contract's scope while an authorization for that Payment Account is in force; revoke the authorization, or decline or terminate the contract, first.

7. Independent Parties; Professional Responsibility

The Beneficiary and Target are independent contracting parties. Nothing in these terms or in the use of the Bridge Services creates an employment, joint-venture, or partnership relationship between them, or between either of them and Bridge, and nothing appoints Bridge as anyone's talent agency, booking agency, or manager. The Beneficiary is solely responsible for the conduct of its business, including obtaining and maintaining any license, registration, or approval required for the services it provides (such as talent- or employment-agency licensing where applicable) and complying with the laws that govern its client relationships and fees.

8. Acting for a Client

Where the Target has granted the Beneficiary permissions through the Bridge Services, the Beneficiary may act for the Target within those permissions, as described in the Terms of Service. The Beneficiary is responsible for acting within its authority, and bookings arranged for a client remain contracts between the Venue and the Talent under the Bridge Live Default Booking Terms.

9. Disputes

Disputes about a commission contract are between the Beneficiary and the Target, and they will attempt to resolve them directly. Bridge has no obligation to resolve commission disputes and may suspend disputed amounts as described in the Payment Terms.
