Payment Terms
How payments work on the Bridge Services
These Payment Terms are part of, and incorporated into, the Bridge Live Terms of Service (the "Terms") of Bridge Booking LLC ("Bridge," "we," "us"). They govern payments made, received, or facilitated through the Bridge Services. By using any payment feature of the Bridge Services, you agree to these Payment Terms. Capitalized terms not defined here have the meanings given in the Terms.
1. Payment Processing
Payments on the Bridge Services are processed by Stripe. To send or receive payments you must complete Stripe's onboarding and identity-verification process and agree to the applicable Stripe agreements, including the Stripe Connected Account Agreement. Stripe collects and maintains your banking and identity information for payment processing; Bridge receives limited account information from Stripe — such as verification status, payout eligibility, masked payment-method details, and transaction records — that Bridge needs to operate the Bridge Services. Payments on the Bridge Services are available only in U.S. dollars and only to users in the United States.
2. Appointment of Bridge to Receive Payments
Each user that receives payments through the Bridge Services (including Performers, Techs, Agencies, and Venues selling tickets) appoints Bridge as its limited agent solely for the purpose of receiving payments on its behalf from the applicable payer. Payment made to Bridge is deemed payment made directly to the intended recipient, and satisfies the payer's payment obligation to that recipient in the amount paid, whether or not Bridge remits the payment. A recipient's sole remedy for amounts received by Bridge on its behalf is against Bridge, not the payer.
3. Payment Accounts
You must be at least 18 years old to create a Payment Account or to receive payments through the Bridge Services; ticket purchases by users under 18 are subject to the age and parental-consent requirements in the Terms. A Payment Account reflects funds received or prefunded in connection with activity on the Bridge Services and held with our payment processor pending application or return as described in these Payment Terms. Prefunded amounts may be used solely to pay Performers and Techs for bookings, and to cover related fees, commissions, refunds, and adjustments. The user that holds a Payment Account of record is its "Account Holder." A Payment Account may be linked to one or more profiles, Venues, or Agencies so that payments for them are disbursed to it or made from it, as described in the Terms. A Payment Account:
- is not a bank account or deposit account, earns no interest, and is not insured by the FDIC;
- is not offered or intended for money storage or general-purpose payments, and may be used only as described in these Payment Terms;
- may be subject to eligibility, verification, and review requirements we or our payment processor establish;
- may not be unlinked from, or replaced for, an entity that has a pending payment or an outstanding booking, until those obligations conclude; and may not be unlinked from, or replaced for, either party to a pending or active commission contract, or for a profile in such a contract's scope while an authorization for that Payment Account under Section 7 is in force. Revoke the authorization, or decline or terminate the contract, first.
4. Booking Prefunds by Venues
Venues may prefund a Payment Account solely to cover payments for their upcoming bookings through the Bridge Services. By initiating a prefund transfer you confirm that it is solely for that purpose. Prefunded funds (your "booking funds") may be applied only to payments for bookings and related fees (including commissions under commission contracts you have accepted), or returned to you as described below. If a Payment Account has no payment activity for 90 days, you authorize Bridge to return the remaining funds to the bank account linked to that Payment Account, and we will notify you before doing so. You may request the return of available funds at any time; returned funds are sent only to the bank account linked to your Payment Account. Funds in a Payment Account cannot be sent or transmitted to any other person except as payment for a booking or ticket-related obligation through the Bridge Services.
If we are unable to return funds to your linked bank account (for example, because it has been closed), we will attempt to contact you using the information on your account. Funds that cannot be returned and remain unclaimed will be handled as required by applicable unclaimed-property law, which may include delivery to the appropriate state.
5. Ticket Proceeds
Ticket sales through the Bridge Services are available only to Venues that meet Bridge's eligibility requirements. Venues may elect to have a portion of their ticket proceeds retained in their Payment Account solely to fund payments for their bookings; the remainder is paid out to the Venue's linked bank account. Retained proceeds are subject to Section 4, including the 90-day return.
6. Payouts to Performers, Techs, and Agencies
Amounts payable to Performers, Techs, and Agencies (including Agency commissions) are paid out automatically to the recipient's linked bank account. Bridge initiates the payout process at least once each day for Performers and Techs, and at least once each week for Agency commissions, on the schedule shown in the Bridge Services. Initiating a payout is not the same as receiving funds: the timing of receipt depends on bank processing times, weekends and bank holidays, our payment processor's processing and eligibility requirements, any review described in Section 10, and the status of your account. If a payout cannot be made because your account is not able to receive it, the amount is held for payout and paid once a payout can be made; it cannot be used or directed in the meantime. If a payout cannot be delivered and the amount remains unclaimed, we will attempt to contact you using the information on your account, and the amount will be handled as required by applicable unclaimed-property law. Performers, Techs, and Agencies do not hold balances on the Bridge Services and cannot direct funds to any other person.
7. Commission Contracts
The Bridge Services allow users to propose and accept commission contracts, under which one party (the "Beneficiary" — for example, an Agency) earns a commission on payments processed through the Bridge Services for or from the other party (the "Target") — for example, a commission on a client's booking compensation, a commission on a Venue's ticket proceeds, or a booking fee added when a Venue books talent. The Target is a person, and a contract's scope is the profiles or Venues the Target owns or controls and commits to it. The commission terms — including the amount or percentage, the payments covered, the profiles or Venues in scope, any exclusivity, and the duration — are displayed to the accepting party before acceptance, and, together with the Bridge Live Default Commission Terms, form a direct contract between the Beneficiary and the Target unless those parties agree otherwise in writing. Bridge is not a party to commission contracts.
Bridge applies an accepted commission contract when executing each covered payment, under the authorizations described in this Section: amounts otherwise payable to or by the Target for a covered payment are calculated and disbursed net of, or together with, the applicable commission, and Bridge receives and pays out the commission for the Beneficiary as described in Sections 2 and 6, at the same time as the underlying payment. The application of a commission to a payment is part of that payment's execution for purposes of Section 14. If a payment or transaction to which a commission was applied is later refunded, reversed, or charged back, Bridge may, but is not obligated to, reverse or adjust the corresponding commission. A commission contract applies only to covered payments executed while it is active; termination stops it from applying to future payments and does not affect commissions already applied. Commission amounts applied to a payment are itemized in the payment records available to the affected users.
Account authorizations. A commission is applied to payments disbursed to, or made from, a Payment Account only while an authorization from that account's Account Holder is in force. A party's acceptance of a commission contract is its authorization for each Payment Account it holds, as shown at acceptance; that authorization continues while the contract is active and ends with it, and a party that wishes to stop the commission may terminate the contract as described in the applicable contract terms. A commission contract may also cover profiles whose payments are disbursed to a Payment Account held by someone who is not a party to it; that Account Holder is asked to authorize once the contract is accepted, and the commission is not applied to payments to that Payment Account until they do. By giving an authorization, an Account Holder instructs Bridge, as its limited agent under Section 2, to calculate and disburse each covered payment to that Payment Account net of, or together with, the commission as displayed when the authorization was given. An authorization is limited to covered payments for the profiles identified when it is given; it does not extend to other payments to the same Payment Account, or to profiles that later direct payments to it, unless the Account Holder authorizes them. An authorization attaches to the contract terms displayed when it is given; if materially different terms later take effect for that Payment Account, the commission is not applied to payments to it until its Account Holder authorizes the new terms. An Account Holder that is not a party to the contract may revoke its authorization, in whole or for particular profiles, at any time through the Bridge Services; revocation stops the commission from applying to future payments to that Payment Account for the revoked profiles, does not affect commissions already applied, and does not otherwise change the contract. An authorization is not part of the commission contract and does not make the Account Holder a party to it.
8. Expedited Payments
In limited cases, and in our sole discretion, we may make a payment available to a recipient before the corresponding funds from the paying Venue have settled. The paying Venue remains fully responsible for the underlying payment. If the underlying payment fails or is reversed for any reason, the Venue agrees to pay the amount due immediately, and authorizes Bridge to collect it as described in Section 9.
9. Bank Debit Authorization; Returned Payments
By initiating any payment or prefund transfer from a bank account, you authorize Bridge, through its payment processor, to debit that bank account for the amount you authorize, plus applicable fees. You further authorize Bridge to debit your linked bank account and/or your Payment Account for any amounts you owe under the Terms, including failed or reversed payments, refund amounts and associated costs for your events, and negative Payment Account balances. If a payment you initiate fails or is returned (for example, for insufficient funds), you remain responsible for the amount owed and any associated costs we incur, and we may reattempt the debit as permitted by applicable rules. You may revoke a recurring authorization by contacting support@bridge.live in time for us to act on it; revocation does not excuse amounts already owed.
10. Risk Management; Reserves and Holds
To manage the risks inherent in operating a payments platform, Bridge and its payment processor may take reasonable protective measures. Specifically, we may:
- establish reserves or holds on funds — including event-specific holds — where we reasonably anticipate refunds, chargebacks, disputes, or elevated risk;
- delay or suspend a payout or funds return pending risk or fraud review, expected refund obligations, legal process, or requirements of our payment processor;
- offset amounts you owe under the Terms against amounts payable to you, across events and payment types;
- correct processing or ledger errors and reverse credits made in error;
- require additional identity, business, tax, event, or bank documentation before processing further transactions;
- suspend payment features of an account for suspected fraud, misuse, or violation of the Terms or of our payment processor's rules;
- decline transactions that we reasonably believe would violate applicable law, sanctions requirements, or our payment processor's prohibited-business restrictions;
- change payout schedules prospectively.
Where a refund, chargeback, return, or dispute results from your event or account, associated costs may be passed through to you where disclosed. Amounts you owe survive closure of your account, and we may recover them as described in Section 9.
11. Fees
Fees applicable to a transaction are displayed before you confirm it. Fee amounts and structures may change prospectively. Except where expressly stated otherwise or required by law, fees are non-refundable.
12. Refunds, Reversals, and Chargebacks
Ticket refunds are governed by the Bridge Live Ticket & Refund Policy and the applicable event's refund policy. The Venue is responsible for funding refunds for its events; if refund amounts exceed the funds available from the event, the Venue authorizes Bridge to collect the shortfall under Section 9. If a refund, reversal, chargeback, or other adjustment results in a negative Payment Account balance, the Account Holder owes Bridge that amount immediately; Bridge may set off amounts owed against any funds payable to that Account Holder and may suspend funds returns until the balance is restored.
13. Taxes
You are solely responsible for determining and paying all taxes that apply to amounts you receive through the Bridge Services. You agree to provide any tax information or documentation reasonably requested (such as a Form W-9), and you consent to the filing and electronic delivery of any information returns that Bridge or its payment processor is required to file with respect to payments to you. If you do not provide valid taxpayer information when required, Bridge may hold payouts and may withhold from payments where required by law. Sales tax on ticket purchases is calculated and collected at checkout where applicable; where marketplace-facilitator laws require it, Bridge collects and remits those taxes. Venues and event organizers remain responsible for any other taxes that may apply to their events — such as admissions, amusement, or facility taxes — unless Bridge expressly states that it collects them, and for the accuracy of the event and tax information they provide.
14. Relationship of the Parties; User Transactions
Bookings, engagements, commission contracts, and events arranged through the Bridge Services are transactions between the users involved. Bridge is not a party to those transactions, is not an employer, promoter, talent or booking agency, or manager of any user, and Performers and Techs are not employees or contractors of Bridge. Except as expressly stated in Section 2, Bridge is not responsible for any user's performance, attendance, quality of services, or payment. Bridge executes payments according to the instructions and authorizations given through the Bridge Services; once a payment has been executed in accordance with those instructions, it is final as between you and Bridge, except that Bridge may correct processing and ledger errors, reverse duplicate or mistaken payments, and process refunds, chargebacks, reversals, and adjustments required by the Ticket & Refund Policy, card network or bank rules, applicable law, or a fraud investigation. If you believe a payment was processed in error, contact support@bridge.live within 60 days of the transaction so we can investigate. Bridge has no obligation to resolve disputes between users, and may, at its discretion, suspend disputed amounts pending joint written instructions from the users involved or a court order.
15. Electronic Transactions
You consent to transact electronically, and agree that your electronic acceptance and authorizations under these Payment Terms have the same force as a written signature.
16. Account Closure
If you close a Payment Account, remaining available funds are returned to your linked bank account after all pending transactions and amounts owed are settled.
17. Funds Owed to You
Nothing in the Terms' limitation of liability limits Bridge's obligation to remit amounts it has received for your benefit under Section 2.
18. Changes
We may update these Payment Terms as described in the Terms. Material changes will be notified and apply prospectively. Continued use of payment features after a change takes effect constitutes acceptance.
